The board of directors is comprised of anywhere from 9 to 15 directors who must all possess a financial background and adequate industry experience. Among the directors, 3 to 5 are to be independent directors. Directors are elected for three year terms that can be renewed sequentially.

Independent directors are nominated by shareholders and board members who hold more than a 1% stake of outstanding company shares. The list of nominees is first evaluated by the board of directors to see if they comply with all criteria for independence. Then is it presented at the shareholders' meeting where candidates are elected.

Responsibilities and duties for board members include the following:
1.

Ratify the company's guiding principles and plans

2.

Ratify the company's budget and provide a final audit on financial numbers

3.

Ratify the company's rules and regulations

4.

Ratify important company laws

5.

Propose capital increases or decreases and stock issuance

6.

Propose a plan for profit distribution or appropriation to make up for any losses

7.

Resolve to issue corporate bonds

8.

Resolve plans to buy back company stock

9.

Oversee the appointment and removal of management (including head of internal auditing)

10.

Ratify the acquisition and disposal of assets

11.

Decide on the date to hold shareholder meetings

12.

Appoint directors and supervisors for subsidiaries

13.

Other items relating to rules and regulations and shareholder rights

Board Members

Mr. Ching Chang Yen - Chairman

Chairman Yen has been chairman of Yuanta Financial Holdings since June 2005. He is also chairman of Yuanta Bank, Yuanta Foundation, and an independent director of Inotera Technology Company.

Prior to becoming chairman of Fuhwa, Mr. Yen was Taiwan's first ambassador to the World Trade Organization (WTO) from 2002 to 2005. From October 2000 to January 2002, Mr. Yen served as finance minister at the Ministry of Finance. At this post he urged the Legislative Yuan to pass new financial laws, ushering in the first comprehensive financial reform for Taiwan . The laws encouraged financial institutions to merge, helping to transform poor-performing ones, and making the industry more competitive.

Chairman Yen started his 28-year public service career in 1972 at the Ministry of Finance in customs affairs. During 1985-1986, he was one of the officials responsible for the implementation of value-added taxation. Under President Lee Tung-Hui, Mr. Yen became bureau director, and later director general. From 1996-2000, in his capacity as deputy finance minister, he assisted then Finance Minister Mr. Guo Cheng-Syong in successfully limiting the impact of the 1997 Asian financial crisis on Taiwan, and successfully implemented the important "2-in-1" tax reform, advancing Taiwan as a strong environment for investment.

Chairman Yen graduated with an undergraduate degree in law from National Taiwan University in 1974 and attended Cheng-Chi Graduate School , and the University of Michigan Law School, studying under the renowned John H. Jackson. After returning to Taiwan, in addition to his governmental posts, Mr. Yen taught law part-time at Soochow University for many years. In 1995 he also had the honor of being an Eisenhower Fellowship visiting professor to the United States.

Dr. William Seetoo - Independent Director

Dr. Seetoo is a professor at National Cheng Chi University (NCCU), Graduate School of Business, with a teaching concentration on corporate strategy. He was the first Chinese scholar to specialize in strategic and organizational management.

After earning his Ph.D. in the United States, Dr. Seetoo returned to Taiwan and began his teaching career. He has held many positions at NCCU, including director of the Graduate School of Business, director of the undergraduate Business Management Department, assistant director of the Center for Public and Business Administration Education, and vice president of the university. Dr. Seetoo is currently a full-time professor in NCCU's Business Management Department.

Dr. Seetoo has taught at NCCU for over 30 years. He teaches organizational theory and management and corporate strategy to graduate students and entrepreneurs, and management theory to doctoral students. He is well known in Taiwan for his case study and heuristic pedagogy. He has provided guidance for over 60 doctoral dissertations and over 100 graduate dissertations. He has designed and developed strategic matrix analysis and management matrices. These tools are useful in evaluating business dynamics and have become widely adopted by the business community in Taiwan.

In 1998, the Chinese Management Association awarded Dr. Seetoo with the distinguished Management Medal in recognition of his contribution to business management education in Taiwan.

After graduating from National Cheng Chi University with a degree in business management, Dr. Seetoo earned his M.B.A. degree at the University of Illinois and a Ph.D. degree at Northwestern University.

Mr. Chao Lin Yang - Independent Director

Mr. Yang is currently the chief operations officer of Formosa Plastics Group.

Mr. Yang brings with him a strong financial background and has played an important role in the development of Formosa Plastics Group as it has grown into a diversified plastics conglomerate. Mr. Yang focuses his efforts on strengthening corporate governance at Yuanta Financial Holdings.

Mr. Yang graduated from National Cheng Kung University.

Mr. Cheng Ji Lin - Independent Director

Mr. Lin is currently a council member for the International Fiscal Association.

Mr. Lin was formerly managing under-secretary at the Ministry of Finance, Taiwan Disbursement Office district head, head of the Taiwan Labor Insurance Bureau, Taiwan Tax Bureau – North District head and Taipei City head.

Mr. Lin graduated from National Taiwan University .

Mr. Ling Long Shen - Independent Director

Mr. Shen is currently chairman of the Taiwan Asset Management Corporation and a director at GreTai Securities Market.

Mr. Shen was formerly head of the Insurance Bureau at the Ministry of Finance, chairman of Chung Kuo Insurance, chairman of Mega Asset Management, and a director of Mega Financial Holding Co.

Mr. Shen earned his Ph.D. degree in economics at Universite Paris 1 Pantheon Sorbonne.

Mr. Tony Shen - Director

Mr. Shen was previously executive vice president of Yuanta Securities and vice chairman of Yuanta Securities Asia Financial Services.

Mr. Jin Long Fang - Director

Mr. Fang was formerly chairman of LiChing Industrial Co.

Mr. Fang graduated from Chiayi Business College.

Mr. Tien Fu Lin - Director

Mr. Lin was formerly vice chairman of Yuanta Securities Finance, president of Fuhwa Securities, executive vice president of Yuanta Securities, and director of Taiwan Depository & Clearing Corporation.

Mr. Hsian Dao Chiu - Director

Mr. Chiu is a director of Yuanta Financial Holdings (formerly Fuhwa Financial Holding Co.), representing Hsu Tong Investment Co.

Mr. Chiu is also currently chairman of Yi Ho Automotive Co., Chang Li Trading Co., Jin Li Enterprise, Jin Li Trading Co., Jin Hong Enterprise, Guan Ya Investment, and is on the board of Rui Te Automotive Co., Cheng Long Automotive, Feng Long Automotive, San Yue Textile Co., Yi He International, Yuanta Bank, Yuanta Leasing Co., and supervisor of Ma Ting International and De Mei Automotive.

Mr. Chiu was formerly chairman of Taichung Securities Co., and director of Asia Pacific Bank, Asia Pacific Investment Trust, Asia Pacific Leasing and chairman of Fu An Insurance Agent Co.

Mr. Chiu received his MBA degree from Southwestern University.

Ms. Teresa Ma - Director

Ms. Ma was formerly chairwoman and a special assistant to the president of Yuanta Securities Investment Trust.

Ms. Ma graduated from the University of California, Berkeley.

Mr. Yue Cang Li - Director

He was formerly chairman of TaFa Securities Co.

Mr. Li graduated from Kantsu University in Japan.
