The Company announces on behalf of its subsidiary, Yuanta Commercial Bank Co., Ltd., the completion of capital amendment registration and related matters. |

- Date of the Competent Authority's approval of the capital reduction: 2008/04/11.
- Date of completion of capital amendment registration: 2008/04/11.
- Effect on the company financial report (including any discrepancy between the amount
of paid-in capital and the number of shares outstanding and the effect on net worth
per share):
（1）The capital amount of Yuanta Commercial Bank Co., Ltd. before and
after the capital reduction is NT$ 24,000,000,000 and NT$ 22,000,000,000, respectively.
（2）The number of shares outstanding before and after the capital reduction is 2,400,000,000
shares and 2,200,000,000 shares, respectively.
（3）The net equity per share based
on the 2007 financial statements before and after the capital reduction is NT$ 9.10
and NT$ 9.92, respectively. - Share conversion operations plan: Yuanta Financial Holdings is the sole shareholder
of Yuanta Commercial Bank Co., Ltd.
