The Company announces on behalf of its subsidiary, Yuanta Commercial Bank Co., Ltd.,
the completion of capital amendment registration and related matters |

- Date of the Competent Authority's approval of the capital reduction: 2007/10/09
- Date of completion of capital amendment registration: 2007/11/09
- Effect on the company financial report (including any discrepancy between the amount
of paid-in capital and the number of shares outstanding and the effect on net worth
per share):
（1）Paid-in capital of Yuanta Commercial Bank Co., Ltd. before the capital
reduction is NTD 18,000,000,000, and after the capital reduction it is NTD 14,000,000,000.
（2）The
number of shares outstanding before the capital reduction is 1,800,000,000 shares, and after the capital reduction it is 1,400,000,000 shares.
（3）The net worth per
share based on the financial statements of third quarter 2007 before the capital
reduction is NTD 7.56, and after the capital reduction it is NTD 9.73 .
（4）Yuanta
Commercial Bank Co., Ltd. issues shares through private placement amounted NTD 10,000,000,000,
and new paid-in capital is NTD 24,000,000,000.
- Share conversion operations plan: Yuanta Financial Holdings is the sole shareholder
of Yuanta Commercial Bank Co., Ltd.
- Any other matters that need to be specified: Yuanta Commercial Bank Co., Ltd., received
the Ministry of Economic Affairs' approval letter on 2007/11/09.
