YFH announces the share swap base date with Yuanta Securities Investment Trust Co., Ltd. and the capital increase base date

Cause of occurrence:
(1)YFH proposes to acquire Yuanta Securities Investment
Trust Co., Ltd. (”Yuanta Securities Investment Trust”)
as a 100%-owned subsidiary through share swap. The
Annual General Shareholders' Meetings of both parties held on
2026/06/12 approved the share swap transaction and
the share swap agreement. The proposal has been approved
by the Financial Supervisory Commission (FSC) on
2026/07/29 by letter (reference number 1150224616).
(2)After taking into account the impact of ex-rights
and ex-dividend adjustments of both parties, each
common share of Yuanta Securities Investment Trust
will be exchanged for 5.2981 common shares of the Company.
To provide the share consideration required for the share swap,
the Company plans to issue new common shares through a capital
increase, with the share swap base date and the capital increase
base date set for 2026/12/04.

(1)The aforesaid share swap base date was jointly determined by
the Chairmen of YFH and Yuanta Securities Investment Trust.
(2)YFH announced the adjustment of the share swap
consideration relating to the acquisition of Yuanta
Securities Investment Trust on 2026/08/24, and
such adjustment became effective on the same date
(YFH's ex-rights base date).
